Please read these Terms and Conditions carefully before engaging with Sornthep's advisory services or using this website. By making an enquiry or entering into an engagement, you confirm that you have read, understood, and agreed to the terms set out below.
1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Sornthep", "we", "us", "our" — Sornthep, a family business advisory practice operating from 58 Wichayanon Road, Chang Moi, Chiang Mai 50300, Thailand.
- "Client", "you", "your" — any individual or company that accesses this website, makes an enquiry, or enters into an engagement with Sornthep.
- "Services" — the advisory, facilitation, and planning services offered by Sornthep, as described on this website.
- "Engagement" — a formally agreed scope of work between Sornthep and a Client, documented in writing.
- "Agreement" — these Terms and Conditions, together with any engagement letter or scope of work agreed in writing.
- "Content" — all materials, documents, summaries, and written outputs produced by Sornthep in connection with the Services.
- "Website" — the Sornthep website accessible at sornthepx.biz.
2. Acceptance of Terms
By submitting an enquiry through our website, or by proceeding with an engagement following an initial consultation, you confirm that:
- You are aged 18 or over, or are authorised to represent a company or family business.
- You have the legal capacity to enter into a binding agreement.
- You have read and understood these Terms and Conditions.
If you are entering into an engagement on behalf of a company or family group, you confirm that you are authorised to do so on their behalf.
3. Service Description
Sornthep provides the following advisory services to family-owned businesses:
- Succession Conversation Session — a facilitated, structured conversation among family members about how responsibilities and ownership may be passed to the next generation. Includes a written summary.
- Succession Planning Engagement — a collaborative engagement to develop a clear, humane handover plan, including defined roles, timelines, and development milestones. Includes a written plan and milestone outline.
- Family Business Advisory — an ongoing advisory relationship supporting the family and business through a long transition, with a steady outside perspective. Includes regular sessions and written follow-up.
Our services are advisory in nature. We provide information, facilitation, and planning guidance. We do not provide legal advice, financial advice, tax advice, or regulated professional services of any kind. Clients should engage appropriately qualified professionals for those matters.
Services are available to clients based in Thailand and to Thai family businesses with international operations, subject to agreement. All services are conducted in English, Thai, or a combination as agreed.
4. Client Responsibilities
To allow us to provide our services effectively, you agree to:
- Provide accurate, relevant, and complete background information about your family and business as reasonably requested.
- Ensure that the relevant family members or representatives attend agreed sessions.
- Communicate promptly and honestly throughout the engagement.
- Use materials and written outputs produced by Sornthep solely for your own internal family and business purposes.
- Refrain from using our website in any unlawful manner or in a way that could harm Sornthep's reputation or operations.
We ask that all participants treat sessions as a safe, respectful space. Sornthep reserves the right to pause or conclude an engagement if conduct within sessions is disrespectful or counterproductive to the process.
5. Intellectual Property
All content on the Sornthep website — including text, design, structure, and visual elements — is the property of Sornthep and is protected by applicable intellectual property laws in Thailand.
Written outputs, frameworks, summaries, and plans produced in the course of an engagement are delivered to you for your personal and internal family/business use only. They may not be reproduced, shared publicly, or used for commercial purposes without our prior written agreement.
Sornthep retains the right to use non-identifying, anonymised insights from engagements to improve our methodology and service quality.
6. Fees & Payment
Our service fees are as follows:
All fees are quoted and payable in Thai Baht (THB). Payment is due upon receipt of invoice, unless otherwise agreed in writing. For ongoing advisory, invoices are issued monthly in advance.
In the event of a cancellation, the following applies:
- Cancellations made more than 5 business days before a scheduled session: full fee refund or rescheduling at no charge.
- Cancellations made within 5 business days of a session: 50% of the session fee is payable.
- For ongoing advisory engagements: 30 days' written notice is required to conclude the arrangement.
7. Service-Specific Terms
The following terms apply to specific services:
Succession Conversation Session
Delivered as a single facilitated session, typically 2–3 hours. A written discussion summary is provided within 5 business days. This service does not constitute legal, financial, or tax advice.
Succession Planning Engagement
Typically delivered over 4–8 weeks, involving multiple sessions. A written succession plan and milestone outline are provided upon conclusion. Scope changes must be agreed in writing and may affect the fee.
Family Business Advisory
A monthly retainer arrangement. The scope and frequency of sessions are agreed at the outset and may be reviewed together. Either party may conclude the arrangement with 30 days' written notice.
8. Confidentiality
Sornthep treats all information shared during engagements with strict discretion. We will not share your personal or business information with third parties without your consent, except as required by Thai law.
We ask that clients similarly treat any materials, frameworks, or methodologies shared by Sornthep in the course of an engagement as confidential, and not share them with outside parties without our prior agreement.
9. Disclaimers
Sornthep's services are advisory and educational in nature. We provide information, facilitation, and planning guidance only.
- We do not provide legal, financial, tax, or investment advice. No content on this website or produced during an engagement should be construed as such.
- We make no representation that any particular outcome will result from our engagement. Business outcomes depend on many factors outside our control.
- The website and its content are provided on an "as is" basis. We take reasonable care over accuracy but make no warranty as to completeness or currency of information.
- We are not responsible for decisions made by clients or their families based on advisory sessions or written outputs.
10. Limitation of Liability
To the fullest extent permitted by Thai law, Sornthep's total liability to you in connection with any engagement shall not exceed the total fees paid by you to Sornthep in the three months preceding the event giving rise to the claim.
Sornthep is not liable for any indirect, consequential, incidental, or special loss arising from the use of our services or website, including but not limited to:
- Loss of profit, revenue, or anticipated savings
- Damage to business relationships or reputation
- Loss arising from business decisions made in reliance on our advisory outputs
- Interruption of business or loss of data
Nothing in these Terms excludes liability for fraud, personal injury resulting from negligence, or any other liability that cannot be excluded under Thai law.
11. Indemnification
You agree to hold harmless and indemnify Sornthep, its directors, staff, and associates from and against any claims, losses, damages, costs, or expenses arising from your breach of these Terms, your use of our website, or any misuse of materials or outputs provided during an engagement.
12. Termination
Either party may conclude an engagement by giving written notice. For ongoing advisory arrangements, 30 days' notice is required. For project-based engagements, the terms in the engagement letter apply.
Sornthep reserves the right to conclude an engagement immediately if a client's conduct during sessions is harmful to the process, or if material information relevant to the engagement has been withheld or misrepresented.
Upon termination, any outstanding fees for work completed become immediately payable. Confidentiality obligations and intellectual property provisions survive termination of an engagement.
13. Dispute Resolution
These Terms are governed by the laws of the Kingdom of Thailand. Any disputes arising under or in connection with these Terms or an engagement shall be subject to the exclusive jurisdiction of the Thai courts.
We encourage an informal resolution process: if you have a concern, please contact us first at [email protected]. We will acknowledge your concern within 5 business days and attempt to resolve it in good faith.
If informal resolution is not possible, both parties may agree to refer the matter to mediation before commencing formal proceedings.
14. General Provisions
- Entire Agreement — these Terms, together with any engagement letter or scope of work, constitute the entire agreement between the parties in relation to the relevant services.
- Severability — if any provision is found to be invalid or unenforceable, the remaining provisions continue in full force.
- Waiver — failure to enforce a provision does not constitute a waiver of that provision or any other.
- Assignment — you may not assign your rights or obligations under these Terms without our prior written consent. Sornthep may assign operational responsibilities to a qualified associate with notice.
- Notices — formal notices should be sent by email to [email protected] or in writing to our registered address.
15. Changes to These Terms
We may update these Terms from time to time. The current version will always be available on this page, with the effective date shown at the top. Your continued use of our website or engagement with our services following any change constitutes acceptance of the updated Terms.
